Pelbliss Terms of Use

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you (the "Vendor"), whether personally or on behalf of an entity, and Pelbliss Limited ("Pelbliss", "we", "us", or "our"), regarding your access to and use of www.pelbliss.com (the "Site"), including any related media form, media channel, mobile website, or mobile application.

By accessing the Site, you confirm that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree, you are prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site are hereby incorporated by reference. We reserve the right to modify these Terms at any time. Updates will be indicated by a revised "Last Updated" date. Continued use of the Site constitutes acceptance of any changes.

The Site is intended for users who are at least 18 years old. Users who are minors must not use the platform.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below:

"Agreement" means these Terms and Conditions, as may be amended from time to time.

"Booking" means a confirmed reservation or order for services placed by a user through or as a result of the Site.

"Client" or "Customer" means any individual or entity that uses the Site to find and book services listed by vendors.

"Content" means any text, graphics, photos, videos, audio, software, data compilations, and other material appearing on or through the Site.

"Contribution" means any submissions, uploads, or content (including but not limited to listings, photos, descriptions, and media) provided by a Vendor to be displayed or used on the Site.

"Platform" means the online listing and discovery service operated by Pelbliss through its website (www.pelbliss.com) and/or mobile application.

"Vendor" means an individual or entity registered on the Site to list, advertise, and offer services to Clients through the Platform.

3. Intellectual Property Rights

Unless otherwise stated, the Site, its Content (source code, graphics, trademarks, etc.), and Marks are our proprietary property or licensed to us and protected by copyright and intellectual property laws.

You are granted a limited license to access and use the Site for personal, non-commercial purposes. Any reproduction or redistribution of Site content is prohibited without prior written consent.

4. User Representations

By using the Site, you represent and warrant that:

1. All registration information you provide is true, accurate, and up to date;

2. You will maintain and update such information as necessary;

3. You have legal capacity and agree to comply with these Terms;

4. All users must not be under 18 years of age;

5. You will not use automated means to access the Site;

6. You will not use the Site for any illegal or unauthorized purpose;

7. You possess valid business registration (CAC) and a government-issued ID;

8. You agree to the subscription billing terms.

9. Each Vendor registered on the platform to provide services shall operate as an independent contractor and Pelbliss shall not be liable for no-shows, reschedulings and booking cancellations.

We reserve the right to accept or reject vendor applications. Failure to provide accurate information may result in suspension or termination.

5. User Registration

Users shall be required to register to access the services. You are responsible for safeguarding your login credentials and agree to accept liability for all activities under your account.

6. User Responsibilities (Service, Listings and Bookings)

• Clients shall make full payment to vendors through the vendors' preferred payment method.

• Vendors shall maintain accurate descriptions, pricing, images, and contact details;

• Vendors and clients shall independently manage communications and bookings;

• Users shall engage vendors respectfully and only for legitimate event;

• Vendors shall respond professionally to inquiries;

• Upload only original or licensed content.

7. Payment Terms

You agree to:

• Provide accurate payment and contact details;

• Update payment info as needed;

• Pay all charges in Nigerian Naira;

• Authorize charges to your preferred payment provider.

8. Prohibited Activities

Vendors must not:

1. Systematically retrieve data to compile content elsewhere;

2. Collect emails or usernames for unsolicited communications;

3. Circumvent security features;

4. Frame or link without permission;

5. Mislead users or provide false information;

6. Abuse support channels;

7. Engage in automated interactions;

8. Interfere with platform operations;

9. Impersonate others;

10. Transfer accounts;

11. Harass or harm others;

12. Reverse engineer platform software;

13. Bypass access controls;

14. Use proprietary materials for competing products.

9. User-Generated Content

• All uploads (photos, videos) must be original or properly licensed.

• Vendors retain ownership but grant Pelbliss a royalty-free license to use uploaded content for promotions.

• Co-created content is co-owned and must not be reused without written consent.

10. Cancellations and Refunds

• Vendors must clearly display their cancellation/refund policies.

• Customers must review and agree before booking.

• Refunds are governed by the vendor's own policy.

• Pelbliss shall not be liable for post-booking disputes.

11. Mobile Application License

You are granted a non-transferable, revocable license to use the mobile application. You must not:

1. Reverse engineer or decrypt the app;

2. Modify or create derivative works;

3. Violate laws using the app;

4. Remove proprietary notices;

5. Use for competing services;

6. Send spam or unsolicited messages;

7. Misuse proprietary designs or interfaces.

12. Service Booking, Payments and Subscription Model

• Payments are handled directly between clients and vendors.

• Vendors must provide secure, verified payment channels.

• Users are responsible for accurate and authorized payments.

• Vendors pay a recurring fee (monthly/quarterly/annually).

• Fees are non-refundable unless due to technical error.

• Accounts are suspended if payment is not renewed within 30 days.

13. Reviews & Ratings

• All reviews shall be respectful and honest.

• Vendors may request flagging of inappropriate reviews from user.

• Pelbliss may remove content that do not conform to these terms after conducting its internal investigation of the reviews.

14. Platform Role & Limitation of Liability

Pelbliss serves as a listing platform and shall not be held liable for:

• Booking disputes;

• Service dissatisfaction;

• Lost business or data.

15. Termination & Suspension

Accounts may be suspended or terminated for:

• Repeated complaints or violations;

• Posting false/offensive content;

• Non-payment beyond 30 days;

• Legal obligations requiring removal.

16. Governing Law & Dispute Resolution

This agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved first through mediation, then arbitration in Lagos, in accordance with the Arbitration and Conciliation Act.

17. Limitation of Liability

To the fullest extent permitted by law, Pelbliss is not liable for indirect, incidental, or consequential damages. Our total liability, if any, is limited to the amount paid by you within the preceding months.

18. Changes to Terms

We reserve the right to update these Terms. Continued use after updates implies acceptance. Vendors should check this page periodically.

19. Privacy Policy

By using the Site, you consent to our privacy practices as outlined in our Privacy Policy. Data is processed in Nigeria, and international users consent to such data transfer.
